(1) ELIGIBILITY:
The Pick'em Contest is offered and open in the United States and its territories to legal United States residents and to legal residents of Canada (except residents of Quebec) at least 18 years old. Employees and directors of SCA Promotions ("SCA"), and iWon.com ("Sponsor" or "iWon"), their parents, affiliated and subsidiary companies, advertising and promotion agencies, judges and legal advisors, and the immediate family or members of their same households of such employees and directors are not eligible. By entering the Contest, you agree to these Official Rules and the decisions of SCA, the Sweepstakes judging organization, which are final and binding in all respects.

Void in the Province of Quebec and where prohibited.

(2) PROMOTIONAL PERIOD:
The promotional period begins on 09/08/05 at 5:59 a.m. Eastern Time (ET), and ends on 02/06/06 at 12:00 p.m. (ET) ("Promotional Period"). The Promotional Period shall be divided into 17 individual weeks and one additional period consisting of the playoff and Super Bowl games collectively, and shall be played according to the following schedule:

Week 1 ends at 11:59 am EST Thursday - (9/8/05)

Week 2-11 end at 11:59 am Noon EST Sunday - (9/18/05), (9/25/05), (10/2/05), (10/9/05), (10/16/05), (10/23/05), (10/30/05), (11/6/05), (11/13/05), (11/20/05)

Week 12 ends at 11:39 AM EST Thursday - (11/24/05)

Weeks 13-14 end at 11:59 am EST Sunday - (12/4/05), (12/11/05)

Weeks 15 ends at 11:59 am EST Saturday - (12/17/05)

Week 16 ends at 11:59 am EST Saturday - (12/24/05)

Weeks 17 ends at 11:59 am EST Saturday - (12/31/05)

Playoffs: Week 1 Playoffs ends at 11:59 am EST Saturday - (1/7/06)

Playoff: Week 2 Playoffs ends at 11:59 am EST Saturday - (1/14/06)

Playoff: Week 3 Playoffs ends at 11:59 am EST Saturday - (1/22/06)

Playoff: Week 4 Playoffs ends at 11:59 am EST Saturday - (2/5/06)


Each week begins immediately upon expiration of the prior entry period.

Sponsor, however, reserves the right to terminate the promotion by giving notice, deemed appropriate by Sponsor, during any entry week in which case the Promotion will terminate as provided for by Sponsor. However, should the promotion be terminated as aforesaid, the Grand Prize will nevertheless be awarded as stated below.

(3) ENTRY:
Online Method: Access the iWon web site at www.iwon.com. You must be a member of iWon to be eligible for the Pick'em Contest. If you are not an iWon.com member you can become one by accessing the iWon.com home page at www.iwon.com and following the registration procedures stated. By registering as a member of iWon you are also registering to be entered in the "iWon Sweepstakes." Once registered, you need not specially register to play. When you access the iWon home page, click on the icon with the words " PICK'EM." You will be taken to the Pick'em page on which you will find a Pick'em Card with the list of professional football games to be played for that entry week and shall only include Thursday, Saturday, Sunday and Monday night games. Games played on any other day of the week will not be included on the list or in this promotion. Select the team which you guess will win the game by clicking on the circle next to the designation for that team. There will also be a bonus question at the end of the list asking you to predict the total score of the Monday Night game for that week. Complete the field for the bonus question by your answer in the field. If you do not wish to make your own selections you may use the Quick Pick button on the bottom of the Pick'em card. The computer will then randomly make your selections. You may click on the Quick Pick button as often as you wish until you are satisfied with the computer's selection. Quick Pick players must nevertheless complete the bonus question with their own guess by typing their answer in the field. When all of the team selections are made and the bonus question field completed, click on the Submit button. When the Submit button is clicked, you will be taken to a Confirmation page. On that page a star will appear next to the teams you selected. The team names will be in bold. Your answer to the bonus question will also be shown. If you wish to change your week's selections or bonus answer, click on the Change Picks button and you will be returned to the page with the Pick'em Card where you can change your selections and bonus question answer, and then return to the Confirmation page by clicking on the Submit button. When you are satisfied with your picks for the week as they appear on the Conformation Page click on the Confirm Picks button and your week's entry will become final. Once the entries are final for any week, they cannot be changed, altered or modified for that week.

To enter Pick'em Playoff contest you will select the team which you guess will win by clicking on the circle next to the designation for that team. If you do not wish to make your own selection, you may use the Quick Pick button at the bottom of the Pick'em card. When all the team selections are made, click on the submit button. When the submit button is clicked, you will be taken to a Confirmation page. The page will be displayed and changes may be made as outlined above. When you are satisfied with your picks for the week as they appear on the Confirmation Page, click on the Confirm Picks button and your week's entry will become final. The Playoff contest will be determined based on the total number of correct picks of all playoff games, including the Super Bowl. When the Super Bowl ticket is presented to you, you will be asked to complete the bonus question with your prediction of the total score of the Super Bowl game. You cannot complete the Super Bowl week game without completing the Bonus Question.

The Pick'em Card will contain 17 numbers and one tab marked Playoffs on the top of the Card, one for each week of the season. If you click on past weeks of the season you will see your Card for that week, the scores next to each team, a green check mark for the games you chose correctly and a red X mark for games chosen incorrectly. You will also see your bonus guess for the week and correct week's bonus answer. If you click on future weeks, there will be a list of games for that week, but no way to make team selections for those weeks. On the Pick'em Card you will also find your scorecard which will give you the following summary of your participation: Total Picks; Total Correct Picks; Winning Percentage; and Grand Prize Entries. (Note: The information contained in the past and future week section of the Pick'em card, and in any materials contained in your scorecard may not be accurate, due to technical limitations. All of this is provided for information only and has no official status. Prior to the determination of any winner, however, all entries will be properly recorded, credited and entered.)

(4) TO WIN:
The eligible entrant who selects the most winning teams for any week will win that week's prize. In case of tie, the entrant whose answer to the bonus question comes the closest to matching the actual score shall be elected as the winner. In the event there is still a tie, all tied entries will be entered into a drawing and the winner for the week will be randomly selected.

The eligible entrant who selects the most winning teams for the Playoff Season, including the Super Bowl, will win the Playoff Prize. In case of tie, the entrant whose answer to the bonus question comes the closest to matching the actual score shall be elected as the winner. In the event there is still a tie, all tied entries will be entered into a drawing and the winner for the week will be randomly selected.

The eligible entrant who selects the most number of winning teams during the entire length of the contest, including all Playoff games and the Super Bowl, will win the Grand Prize. In case of a tie, the entrant whose answer to the bonus question comes the closest to matching the actual score shall be elected as the winner. In the event there is still a tie, all tied entries will be entered into a drawing and the winner for the week will be randomly selected.

Winners will be notified by mail, email or phone. This promotion will be administered by, and random drawings, if necessary, supervised by Sponsor. Games which are cancelled, suspended or not completed as a continuous event but may be completed at some later date, postponed, are completed under protest, or end in a tie will not be counted.

(5) PRIZE/ODDS:

(1)Grand Prize: Grand Prize Winner: The participant who receives the highest overall score, beginning September, 2005 and ending January, 2006, will win a Home Entertainment Package consisting of a Toshiba 62" Digital-Cable-Ready DLP Rear-Projection HDTV with IEEE 1394 Ports (Model#: 62HM95) and a Panasonic 1000W 5.1-Ch. Home Theater System with Progressive-Scan DVD/CD/MP3 Player (Model #: SC-HT930) and Shipping included. Please allow 8 to 10 weeks for delivery. Approximate Retail Value: $4,450.00. The Grand Prize does not include any set up fees or taxes, both of which are the sole responsibility of the winner.

(17)Weekly Prizes: one (1) per week- $250.00 Gift Certificate to Amazon.com for the person who selects the most winning teams for any week will win that weeks prize. Any applicable taxes are the sole responsibility of the winner.

Playoff: one (1)-$250.00 Gift Certificate to Amazon.com for the person who selects the most winning teams starting the week of January 7, 2006 and ending February 5, 2006, otherwise known as the Playoff games and the Super Bowl. Any applicable taxes are the sole responsibility of the winner.

Odds of winning for any week depend on the sports knowledge of the entrants for that week and on the number of eligible entries for that week and odds of winning Grand Prize depend on the sports knowledge of all entrants and total number of eligible entries received.

(6) GENERAL CONDITIONS:
Winner must complete, execute and return an Affidavit of Eligibility, a Liability Release, and where lawful, a Publicity Release within 7 days of notification. Failure to return documents timely, or if prize notification or prize is returned as non-deliverable, or if winner is found not to be in compliance with these Official Rules or is otherwise ineligible, may result in disqualification with an alternate winner selected. If winner's guest is a minor, then parent or legal guardian will have to complete and return the liability.
Where permitted by law, by accepting prize, winner grants to iWon, and those acting pursuant to its authority (and agrees to confirm such grant in writing upon request), the right to print, publish, broadcast and use, worldwide in any media now known or hereafter developed, including but not limited to the world wide web, at any time or times, the winner's name, portrait, picture, voice, likeness and biographical information as news or information and for advertising, trade and promotional purposes without additional consideration and without notification, review or approval.
Use of robotic, automatic, macro, programmed or like entry methods will void all such entries by such methods and persons using any such methods will be disqualified.
If Promotion is not capable of running due to infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes which, in the sole opinion of iWon, corrupt or affect the administration, security, fairness, integrity, or proper conduct of this Promotion, iWon may cancel, terminate, modify or suspend the Promotion and conduct a random drawing to award the Prize using all eligible non-suspect online entries received as of the termination date and all eligible mail in entries received. If the Promotion is terminated due to tampering or technical difficulties prior to its expiration date, notice will be posted at http://www.iWon.com.

(8) DISPUTES:
Except where prohibited, as a condition of participating in this Promotion, participant agrees that any and all disputes which cannot be resolved between the parties, claims and causes of action arising out of or connected with this Promotion, or any prizes awarded, or the determination of winners shall be resolved individually, without resort to any form of class action exclusively by arbitration pursuant to the commercial arbitration rules of the American Arbitration Association, then effective. Further, in any such dispute, under no circumstances will participant be permitted to obtain awards for, and hereby waives all rights to claim punitive, incidental or consequential damages, or any other damages, including attorneys' fees, other than participant's actual out-of-pocket expenses (i.e., costs associated with entering this Promotion), and participant further waives all rights to have damages multiplied or increased. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of participant and iWon and SCA in connection with this Promotion, shall be governed by, and construed in accordance with, the laws of the State of New York, USA without giving effect to the conflict of laws rules thereof, and all proceedings shall take place in that State in the City of New York, County of New York. In the event of a dispute as to the identity of a winner based on an e-mail address, the winning entry will be declared made by the authorized account holder of the e-mail address submitted at time of entry. "Authorized account holder" is defined as the natural person who is assigned to an e-mail address by an Internet access provider, on-line service provider or other organization (e.g., business, educational, institution, etc.) that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address.
